Terms of Use

For the Managed Public Key Infrastructure (MPKI) solution of DARZ GmbH, based on MTG ERS® software.

§ 1 Scope

(1) These Terms of Use apply to the use of the Managed Public Key Infrastructure (MPKI) solution provided by DARZ GmbH using MTG ERS® technology.

(2) The MPKI is designed for the secure management of digital certificates and cryptographic identities for companies and organizations.

(3) By using the MPKI, you agree to these Terms of Use.

§ 2 Service Description

This is a time-limited, royalty-free license for use, including maintenance for a defined period, but without entitlement to support or warranty.

The features and scope of services, as well as the approved operating environment, are defined in the service description (online documentation) and, where applicable, in the user manual, unless otherwise agreed. The solution is provided only in its specified form, including online help (FAQ).

(2) The DARZ GmbH Managed Public Key Infrastructure (MPKI) solution is certified according to ISO 27001:2022, BSI C5 Type 2, BSI TR-03145, and EN 50600 CAT III.

(3) Note: This offering does not include telephone support or ticket-based support. Use is limited to the technical documentation and self-service functions provided.

§ 3 Usage Rights

(1) Use of the MPKI solution is subject to prior written approval by DARZ GmbH. No automatic entitlement to use arises from awareness or acceptance of these Terms of Use. DARZ GmbH reserves the right to review usage requests individually and to reject them if necessary. Upon approval, the user is granted a simple, non-transferable right to use the MPKI within the scope of the agreed contract.

(2) DARZ GmbH reserves the right to review and reassess usage at any time.

(3) Transfer or use outside of the organization is prohibited unless contractually agreed.

(4) Transferring usage rights to third parties is strictly prohibited unless explicitly approved in writing by DARZ GmbH.

§ 4 User Obligations

(1) Users agree to:

  • not make improper or unauthorized use of the solution,
  • not misuse the interfaces or automated processes,
  • acknowledge that the software, including the user manual and related documentation – in current and future versions – is protected by copyright law.

(2) Violations may result in access being blocked and certificates being deleted.

§ 5 Data Protection and Security

(1) The processing of personal data is carried out in accordance with the GDPR..

(2) Storage takes place exclusively in certified data centers located in Germany.

(3) The MPKI stores security-relevant data such as key material and certificate information using Hardware Security Modules (HSMs).

§ 6 Revocation of Usage Rights

(1) DARZ GmbH reserves the right to revoke the use of the MPKI solution, in whole or in part, at any time and for good cause, with reasonable prior notice.

(2) Revocation may occur in particular in cases of:

  • security-related incidents,
  • violations of these Terms of Use,
  • regulatory changes or technical modifications,
  • a company sale or insolvency,
  • termination of authorization to use MTG ERS® software.

(3) Users will be notified of the revocation in writing or electronically. Any data exports or transfers will be carried out in compliance with applicable data protection and security regulations.

§ 7 Liability

(1) DARZ GmbH is liable only in cases of intent or gross negligence.

(2) No liability is assumed for damages caused by faulty or expired certificates.

(3) DARZ GmbH assumes no liability for content, automations, data, or information that is processed, stored, transmitted, or generated through the use of the MPKI solution.

(4) Responsibility for lawful use and the protection of such data lies solely with the user.

(5) Warranty claims are excluded unless expressly agreed otherwise. In particular, there is no entitlement to error-free operation, specific functionalities, or compatibility with third-party systems, unless contractually guaranteed.

§ 8 Changes to the Terms of Use

Users will be informed of changes in due time. Continued use shall be deemed acceptance of the amended terms.

§ 9 Term

Use begins with the provision of the MPKI and continues for an indefinite period. As noted in §6, DARZ GmbH reserves the right to revoke the use of the MPKI solution, in whole or in part, at any time and for good cause, with reasonable prior notice.

§ 10 Exclusion of DARZ GmbH General Terms and Conditions

Only these Terms of Use apply to the use of the MPKI solution. The General Terms and Conditions (GTC) of DARZ GmbH do not apply.

§ 11 Place of Jurisdiction

The place of jurisdiction for all disputes arising in connection with these Terms of Use is Darmstadt, Germany.

§ 12 Severability Clause

If any provision of these Terms of Use is found to be invalid, the validity of the remaining provisions shall remain unaffected.
